Comstock Resources Turns to SOCAR to Cut Debt and Reach International Gas Buyers S&P Global says the SOCAR deal will help offset Comstock's 2026 free cash flow deficit while connecting its Haynesville output to international buyers. S&P Global Ratings published its assessment of Comstock Resources' planned transaction with SOCAR on September 4 (2026-09-04), finding that the deal would open international gas market access for the Haynesville producer and improve its near-term financial position. NYMEX Henry Hub front-month gas held at $2.86/MMBtu on Friday (2026-09-18), still below $3, the threshold at which US gas producers have historically generated meaningful free cash flow.8,1 The S&P assessment is pointed about the balance sheet. The agency said the deal would help Comstock offset a free cash flow deficit accumulated since the start of 2026, with part of the net proceeds going toward reducing credit facility borrowings. A Jones family partnership will fund 80-85% of the costs of drilling and completing 27 wells over the next 12 months, with total project costs estimated at approximately $450 million. Comstock retains a 62% controlling stake in Pinnacle Gas Services following the transaction.8 S&P flagged that SOCAR also provides Comstock with entry points into the LNG sector. Comstock's output is 100% natural gas, making it one of the most gas-levered E&Ps in the US, with acreage concentrated in the Haynesville shale and proximity to Gulf Coast export terminals. The basin's geographic position has long implied potential for LNG-linked pricing, but Comstock had not previously secured an international partnership explicitly designed to route volumes toward overseas buyers.8,1,2 JKM, the Asian LNG benchmark, hit $26.75/MMBtu on Friday (2026-09-18), roughly nine times the Henry Hub level. That spread does not flow to upstream producers in full, but even a modest premium above domestic indices would shift the cash flow trajectory S&P identified. How quickly Comstock can direct Haynesville volumes through SOCAR-facilitated offtake, and on what contractual terms, is the central uncertainty in the deal's financial impact.8 The Zacks consensus estimate for Comstock's 2026 earnings per share, published in May (2026-05-21), pointed to a 37% year-over-year increase, with a trailing four-quarter earnings surprise averaging roughly 56.9%. Those projections were formed under a sub-$3 gas price backdrop similar to current levels.1,2 The Q2 earnings review for upstream gas E&Ps, published on August 16 (2026-08-16), placed Comstock alongside Appalachian-focused peers including Antero Resources, Range Resources and Gulfport Energy. Antero, which operates roughly 515,000 net acres in the Marcellus and Utica shales across Ohio, Pennsylvania and West Virginia, generates more than 90% of its production from natural gas. Its trailing four-quarter earnings surprise averaged roughly 13%, against Comstock's 56.9%. Part of that difference reflects balance sheet structure; part reflects the higher price-beta of a zero-liquids producer.7,6,1 Range Resources and Gulfport Energy, both flagged by analysts in May (2026-05-21) as plays on any gas price recovery, face the same arithmetic. High gas weighting amplifies upside if prices move above $3; below it, margins stay compressed.3,4 Rising global LNG import capacity, data-center electricity demand growth and potential supply disruptions were cited as structural demand tailwinds in March 2026 (2026-03-15) analysis. None has yet pushed NYMEX Henry Hub front-month durably above $3.5 Comstock's SOCAR deal is, in that sense, a bet on bypassing the Henry Hub ceiling rather than waiting for it to lift. Whether the transaction closes on stated terms, and whether SOCAR's LNG connections translate into durable cash flow improvement before credit facility pressures become acute, will define the CRK story through the rest of 2026.8
